Membership, Longevity Programme, Pathway Programs, Website & AI tools Platform
These Terms of Use (the “Terms”) govern your access to and use of the websites, mobile and web applications, member portal, the AI tools health companion, and all content and services offered by Circle Health Inc. and its affiliated operating companies, including Circle Health King Inc. (together, “Circle Health,” “Circle,” “we,” “us,” or “our”). They form a binding agreement between you and Circle Health. By creating an account, purchasing a membership or pathway program, or otherwise using our services (the “Services”), you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, please do not use the Services.
IMPORTANT — INSURED (OHIP) SERVICES
Circle Health physicians are enrolled with the Ontario Health Insurance Plan (OHIP). Fees for the Circle Longevity Programme and Circle pathway programs are strictly for the uninsured components of care — longevity assessment, diagnostic interpretation, longevity protocol design, technology-platform access (including AI tools), coaching, content, and non-physician wellness services. All insured physician services are billed to OHIP by Circle Health or its physicians at no additional charge to you. Provincial health insurance plans provide important physician services in the fields of prevention and disease management. Subscription to a Circle Health membership or pathway program is not a precondition to receiving insured physician services, or to receiving preferential access to such services.
1. Definitions
- “Services” — our websites, applications, member portal, AI tools, longevity programming, pathway programs, wellness services, and related content.
- “Membership” / “Longevity Programme” — the optional, paid annual program of uninsured longevity services described in Section 3.
- “Pathway Program” — a condition-focused, paid program of uninsured technology, content, coaching, and non-physician wellness support (for example, weight, hormones, sleep, sexual health, or skin).
- “Insured Services” — physician services that are insured under the Ontario Health Insurance Act and OHIP Schedule of Benefits, including the assessment, diagnosis, and management of a medical condition.
- “Uninsured Services” — health, wellness, and longevity services that are not insured under OHIP, as itemized in our Uninsured Fee Schedule.
- “AI tools” — Circle’s member-facing artificial-intelligence health companion, an informational tool described in Section 6.
- “Member,” “you” — the individual who registers for an account or enrolls in a Membership or Pathway Program.
2. Who We Are and What the Services Are — and Are Not
Circle Health is an appointment-based, longevity-focused primary care practice in Toronto. We are not a walk-in clinic and the Services are not an emergency service. The Services combine insured medical care delivered by OHIP-enrolled physicians with separately purchased uninsured longevity and wellness programming. Certain Services (including AI tools, health tracking, educational content, and lifestyle recommendations) are informational and wellness-oriented and do not constitute the practice of medicine.
EMERGENCY — The Services cannot be used for medical emergencies. If you are experiencing an emergency, call 911 or attend your nearest emergency department. For urgent same-day sick care when we are unavailable, contact a walk-in clinic, Health Connect Ontario (811), or your existing family physician.
Certain symptoms are never appropriate for virtual, asynchronous, or membership-based care and require immediate emergency attention. Call 911 or go to your nearest emergency department if you experience any of the following:
- Chest pain or pressure, or difficulty or shortness of breath;
- Sudden weakness, numbness, or difficulty speaking, seeing, or walking (possible stroke);
- Fainting, loss of consciousness, or a sudden change in mental state;
- Severe or uncontrolled bleeding, or a severe allergic reaction;
- Severe abdominal pain, or a complication of pregnancy or the onset of labour;
- Fever in an infant under three months of age; or
- Thoughts of harming yourself or someone else.
This list is not exhaustive; when in doubt, treat the situation as an emergency. AI tools and asynchronous messaging must not be used to report medication reactions, side effects, or other adverse events — report these to your physician or pharmacist, to a walk-in clinic, or, in an emergency, call 911.
3. Membership and Pathway Programs (Uninsured)
3.1 What the fee buys
Your Membership or Pathway Program fee is an annual block fee that covers uninsured services only. Depending on your program and tier, these include: the Foundations Visit (a longevity-focused intake, including longevity-specific consultation time, protocol design, a written longevity report, and a baseline biomarker report); AI tools access; longevity-trained interpretation of diagnostic results through Circle’s longevity reference ranges; ongoing longevity check-ins through the year; pathway access (pharmacotherapy management, supplements, lifestyle programming, resistance training, sleep optimization); wellness credits (for example, IV therapy, red-light therapy, and compression); body composition, biological-age, and cardiovascular-risk calculations; specified uninsured tests; platform access; asynchronous longevity support; and member-discounted à-la-carte pricing.
3.2 What the fee does not buy
The fee does not buy access to Insured Services, faster or longer OHIP-billable visits or any preference in obtaining Insured Services. Insured Services are billed to OHIP and are available to all patients of Circle physicians on the same terms, regardless of membership status.
3.3 Block fee and the per-service alternative
Membership is voluntary. Payment of the annual block fee exempts you from the individual per-service fees for the uninsured items set out in our Uninsured Fee Schedule for the term of your Membership Agreement. You may instead decline the block fee and pay per service at the rates published in the Uninsured Fee Schedule. Declining or cancelling the Membership has no effect on your access to Insured Services from Circle physicians.
4. Fees, Plans, Renewal and Cancellation
4.1 Plans and pricing
- Individual — an individual membership, billed monthly or annually at our current published rates, as set out in your Membership Agreement.
- Family — a family membership, billed monthly or annually at our current published rates, as set out in your Membership Agreement. A family plan covers two adults (each with their own login and private records) plus any number of minor children. Clinical records are private between spouses. Adult children may not be added to a family profile.
- Out-of-province members — where Circle cannot bill a provincial plan for your care, a surcharge applies to reflect fully private care, at the rate set out in your Membership Agreement.
- HSA — all plans are eligible for payment through a Health Spending Account, subject to your plan administrator’s rules.
- Annual Foundations Visit — to be completed within the first 90 days of joining and of each annual commencement date. Progress visit included in your membership tier will be available as indicated in your membership plan.
- Credits and unused services — wellness credit packs expire 12 months from purchase, are non-refundable, and are transferable within the same household. Unused services and credits do not roll over between membership years and are non-refundable.
4.2 Cancellation, renewal and a cooling-off period
- Cooling-off — you may cancel within any statutory cooling-off period that applies for a full refund, less the value of any uninsured services already provided.
- Monthly plans — carry a three-month minimum. After that you may cancel at any time on 60 days’ notice. Following cancellation you retain read-only access to your app records for 90 days.
- Annual plans — are prepaid for the year and cancellable at the end of the term. Annual plans auto-renew, and we send a renewal reminder at least 30 days before renewal. A failed renewal payment results in a downgrade of access to read-only for 90 days until payment is made. If payment is not received within the 90-day grace period, your membership will be terminated and any subsequent enrolment will be at the then-current published rate.
- Fee changes — fees may change on reasonable advance notice; continued use after the change constitutes acceptance of updated pricing unless otherwise stated in your membership agreement.
4.3 Appointments: rescheduling, cancellations, no-shows and late arrivals
Because appointments and assessments are reserved specifically for you with your care team, we ask for advance notice to change them. Required notice periods and any applicable fees vary by service type and are set out in your Membership Agreement and the Uninsured Fee Schedule. The following principles apply:
- Advance notice — if you cancel or reschedule with at least the required notice for that service, no fee applies.
- Late notice — cancellations or changes made inside the notice window may be subject to a rescheduling or cancellation fee, as set out in your Membership Agreement and Uninsured Fee Schedule, reflecting the reserved time and any tests already ordered or processed.
- No-shows — if you miss an appointment without notice, the appointment fee may be charged, and repeated no-shows within a 12-month period may require pre-payment for future appointments.
- Late arrivals — arriving 15 minutes or more late may be treated as a late cancellation if the appointment cannot be completed in the time remaining.
- Preparation — you are responsible for following pre-appointment instructions (such as fasting, medication adjustments, and presenting valid photo identification); if an appointment cannot proceed because these were not met, the late-cancellation fee may apply.
- Changes we make — if Circle reschedules for provider availability, equipment, or other reasons, no fee applies and we will offer the earliest suitable alternative.
- Hardship — fees may be waived, at our discretion, for a documented medical emergency, hospitalization, or bereavement.
4.4 Orders, payment and refunds
When you purchase a Membership, Pathway Program, or à-la-carte service, your order is an offer to purchase. A booking or payment confirmation acknowledges receipt; our acceptance occurs when we confirm the service or begin providing it. Payments are handled by our third-party payment processor, and by providing your payment details you authorize the applicable charges, including any recurring membership charges, and agree to keep your payment information accurate and current.
Where a refund is due — for example, on a cancellation within the cooling-off window or for a service we do not accept or provide — we refund to your original payment method within 10 business days, net of the fair value of any uninsured services already delivered and of any tests, kits, or laboratory panels already ordered or processed, which are non-refundable. Wellness credits and unused services are treated as set out in Section 4.1.
If you are deemed ineligible for a selected treatment program that you paid for, you may be eligible for a full or partial refund depending on the nature of the selected treatment and whether or not you have received some services relating to that treatment. For example, where the treatment program involves substantial counselling or educational components that have already been delivered the consultation and education portion may be non-refundable. We will try to screen patients prior to booking consultations, however we do not guarantee that such intake screening will be 100% effective and you may be responsible for payment of services that were provided. Where services have not yet been provided, we will refund any out of pocket amounts you have paid.
5. Relationship of Membership to Your Physician
Enrolling in a Membership or Pathway Program does not, by itself, create or guarantee a physician–patient relationship, and cancelling a Membership does not, by itself, terminate an existing physician–patient relationship or your right to any pending insured services.
6. AI tools and Other Automated Tools
AI tools and any other automated features provide general information to support your care. They are not a medical device and do not provide medical advice, diagnosis, or treatment recommendations. Automated tools do not make clinical decisions and do not deliver diagnoses or care recommendations on their own; any information they generate is provided to you and your care team for review and is not a substitute for consultation with a qualified health professional. If a clinical concern arises, it must be addressed in a medical visit, not through AI tools or asynchronous messaging. AI tools should never be used for emergency care and you should call 911 immediately or visit your nearest emergency department. We describe how information processed by AI tools is handled, and safeguarded, in our Privacy Policy.
7. No Guaranteed Outcomes
Longevity, wellness, and preventive services are inherently individual. We do not guarantee any particular health result, biological-age change, performance improvement, or other outcome, and any statements about typical benefits are general information only and not a promise of results for you. Insured medical care is provided in accordance with professional standards; no result can be guaranteed or assured.
8. Circle Pharmacy and Your Choice of Pharmacy
Circle may offer members an optional, integrated “Circle Pharmacy” experience, fulfilled by a licensed partner pharmacy. Circle Health Inc. does not itself operate a pharmacy and does not dispense medications; all dispensing is performed by the licensed pharmacy partner, which is solely responsible for the accuracy, safety, and quality of dispensed medications. Use of Circle Pharmacy is optional and you are free to use the pharmacy of your choice. Prescribing is always at the professional discretion of your physician.
9. Your Account
To use certain Services you must register for an account and be of the age of majority in Ontario. You agree to provide accurate, current and complete information; to keep your credentials confidential; to maintain a single account; and to notify us promptly of any unauthorized use. You are responsible for activity under your account. You may not harvest other users’ information or share care directives (such as prescriptions, requisitions, or notes), which are for the named individual’s single use only.
10. Acceptable Use
You agree not to: use the Services unlawfully or abusively; falsify information or alter any care directive; impersonate, harass, or threaten others; reverse engineer, decompile, or extract source code; interfere with the Services or other users’ access; circumvent security or access controls; attempt unauthorized access; use the Services for commercial solicitation; use any data mining, robots, or similar data gathering or extraction methods; mirror or frame any portion of the Services; or cause or launch any programs or scripts for the purpose of scraping, indexing, or otherwise unduly burdening the Services. We may suspend or terminate accounts for violations, without liability, and may nullify medical documents obtained through misuse.
11. Electronic Communications and Virtual Care
The Services use electronic communication and virtual-care tools. No internet or email transmission is ever fully secure. If you choose to communicate by unencrypted email or messaging, you accept the associated risks, including that communications may be intercepted, misdirected, or retained in backups. Virtual care has limitations, including that a provider cannot physically examine you and may not have your complete medical record. Where a matter is not appropriate for virtual or asynchronous handling, you will be directed to an in-person visit or emergency care. Virtual care is provided by regulated health professionals licensed in Ontario (and, where applicable, in the province or territory where you are located), and the services available to you may depend on your location at the time of a consultation.
12. Third-Party Providers and Communications
The Services may connect you with third-party health professionals, laboratories, pharmacies, or wellness providers. Advice or services you receive from a third party are between you and that party and Circle Health does not endorse, guarantee, or warrant their quality, accuracy, reliability, completeness, or fitness for any purpose. We are not responsible for the content, accuracy, or outcomes of third-party services facilitated through the platform, and third-party websites are governed by their own terms and privacy policies. You acknowledge that you may be required to accept terms of service applicable to third-party content, websites, or services and agree to accept and comply with any such terms.
13. Intellectual Property
Circle Health Inc. owns or licenses all rights in the Services, including the platform, software, AI tools, content, trademarks, and brand elements. You receive a limited, non-exclusive, non-transferable, revocable licence to use the Services for personal, non-commercial purposes. You may not reproduce, distribute, modify, or create derivative works without our written permission. Circle Health reserves all rights not expressly granted in these Terms. You retain ownership of your personal health information. If you provide feedback, you grant us the right to use it without restriction or compensation, unless otherwise agreed in writing.
14. Disclaimers and Limitation of Liability
To the maximum extent permitted by law, the platform and non-medical Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not make any representations or warranties regarding the reliability, timeliness, quality, suitability, or availability of the Services. We do not guarantee that the platform will be uninterrupted, timely, secure, or error-free, and we may suspend or limit access for maintenance, security, or operational reasons. The platform is not a substitute for in-person care when that is clinically required. To the extent not prohibited by law, Circle Health is not liable for indirect, incidental, special, or consequential damages arising from your use of, or inability to use, the Services. Nothing in these Terms limits liability that cannot be excluded under Ontario or Canadian law, including the professional liability of our physicians and our obligations under PHIPA and the Regulated Health Professions Act. Our aggregate liability for the platform Services is limited to the fees you paid in the 12 months before the event giving rise to the claim.
15. Indemnity
You agree to indemnify and hold Circle Health, its affiliates, directors, officers, employees, agents, and licensors harmless from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach or violation of these Terms; (b) your misuse of the Services; (c) your violation of any law or third-party right; or (d) any information you provide to Circle Health, except to the extent caused by our own negligence or wilful misconduct.
16. Suspension and Termination
These Terms remain in effect until terminated. We may suspend or terminate your access to membership Services for breach of these Terms at any time and for any reason, without prior notice and without liability. Termination of membership Services does not affect your right to access Insured Services. On termination you must stop using our proprietary platform; our record-keeping obligations and your access to your personal information continue as required by law.
17. Changes to These Terms
We may update these Terms from time to time. We will give reasonable notice of material changes by email or in-app notice. Continued use after the effective date of changes constitutes acceptance.
18. Governing Law and General
These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without giving effect to any principles of conflicts of law, and disputes will be resolved in the courts of Toronto, Ontario. The Services are intended for use in Canada. These Terms, together with the Privacy Policy and your Membership Agreement, are the entire agreement between you and Circle Health regarding the Services. If any provision is unenforceable, such provision will be modified to the minimum extent necessary to make it enforceable, the remainder continues in effect. Our failure to enforce any provision of these Terms shall not be construed as a waiver of that provision or right. We may assign these Terms in connection with a corporate transaction; you may not assign them without our consent.
